Please read these Terms and Conditions carefully before using the website scriptaidigital.com or engaging the services of ScriptAI Digital Services Pvt. Ltd. By accessing our website or placing an order for our services, you agree to be bound by these terms.

1. Acceptance of Terms

By using our website or services, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to comply with these Terms and Conditions.

2. Services

ScriptAI Digital Services Pvt. Ltd. provides digital services including but not limited to:

• Website design and development
• Custom software development
• Digital marketing and SEO
• Legal tech automation
• Analytics and strategy consulting
• Mobile app development

The specific scope, timeline, and deliverables for each project are defined in a separate Project Agreement or Proposal document provided before work commences.

3. Project Agreements & Payments

• All projects require a signed proposal or written confirmation before work begins.
• A minimum advance payment (typically 50%) is required to commence any project.
• Remaining payments are due as per the milestones defined in the project proposal.
• Invoices not paid within the agreed timeline may result in work being paused.
• Prices quoted are valid for 30 days from the date of the proposal.

4. Client Responsibilities

To ensure timely delivery, clients are responsible for:

• Providing accurate content, assets, and information required for the project
• Responding to feedback requests and approval stages within agreed timelines
• Providing access to required platforms, hosting, or third-party accounts
• Reviewing and approving deliverables at each milestone

Delays caused by the client may affect the project timeline and delivery date.

5. Intellectual Property

• Upon receipt of full payment, the client owns the final deliverables created specifically for their project.
• ScriptAI retains ownership of any pre-existing tools, frameworks, templates, or methodologies used during the project.
• ScriptAI reserves the right to display completed work in our portfolio unless explicitly agreed otherwise in writing.
• Third-party assets (stock images, fonts, plugins) remain subject to their respective licences.

6. Revisions & Change Requests

Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions or changes to the agreed scope will be quoted and billed separately.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation survives the completion or termination of the project.

8. Limitation of Liability

ScriptAI Digital Services Pvt. Ltd. shall not be liable for:

• Indirect, incidental, or consequential damages arising from use of our services
• Loss of data, revenue, or business opportunity
• Delays caused by client inaction, third-party services, or circumstances beyond our control

Our total liability in any matter shall not exceed the total fees paid by the client for the specific project in question.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination:

• The client is liable for payment of all work completed up to the termination date.
• Advance payments are non-refundable unless otherwise specified in the project agreement.
• Completed deliverables will be handed over upon receipt of all outstanding payments.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

11. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Continued use of our services after changes constitutes acceptance of the revised terms.
